1. Introduction

1.1 These terms and conditions ('Terms of Use') govern your use of the website (the 'Website') and the related services made available to you by Zipcube, Ltd. ('us', 'we', or 'Zipcube'). The Website and the related services together constitute the 'Service'. By accessing or using the Service, you ('you') agree to be bound by these Terms of Use. We may change these Terms of Use, including pricing, at any time. If we do change these Terms of Use, we will post a notice on the Site for at least seven days after the changes are made. We will also indicate at the start of these Terms of Use the date they were last changed. Any changes to these Terms of Use become effective from the end of such seven-day period or the first time you access or use the Service after such changes, whichever is the earlier. If you do not agree to these Terms of Use and any changes to them, you may not use or access (or continue to use or access) the Service.

2. Your Account

2.1 To rent or schedule time in a workspace (a 'Workspace') from another member through the Service, you must register for a 'Workspace Hirer' account. To rent out or make available your Venue to another member through the Service, you must register for a 'Workspace Owner' account. In these Terms of Use, members with Workspace Hirer accounts will be referred to as 'Hirers' and members with Workspace Owner accounts will be referred to as 'Workspace Owners'.

2.2 By registering to use the Service (whether as a Hirer or a Workspace Owner), you agree to:

  • provide truthful, complete and up-to-date information about you (and, if applicable, your company, business or organisation) as requested by Zipcube ('Registration Data');
  • maintain at all times the confidentiality of your password and other information regarding the security of your Zipcube account;
  • promptly update your Registration Data should it change; and
  • be fully responsible for all use of, and for all actions that take place through, your Zipcube account.
3. Workspace Owners

3.1 Our Workspace Owner's Policy also governs the use of the Service by Workspace Owners. By using the Service as a Workspace Owner, you are deemed to consent to the terms of the Workspace Owner's Policy. The up-to-date version of the Workspace Owner's Policy is located at:

4. Transactions Between Hirers and Workspace Owners

4.1 When renting or scheduling time in a Workspace, the Hirer agrees:

  • to comply with any additional terms, conditions or policies provided by the Workspace Owner (electronic format through the Service or in hardcopy format) relating to the use of that Workspace ('Workspace Policies'), including without limitation compliance with the Workspace Owner's security policies, IT access and use policies, and maximum occupancy limitations;
  • not to use the Workspace for any illegal or unlawful activity;
  • to leave the Workspace in the same condition in which it was made available to you. You will be responsible for any repair costs for damage sustained by the Workspace and any items within it during your use of the same; and
  • not to use the Workspace in any manner that could lead to the death or serious bodily injury of any person, or cause physical or environmental damage.

4.2 You acknowledge and agree that the Service acts as an intermediary service that allows its members to locate, rent, offer to rent, and/or make available workspaces. You acknowledge and agree that all transactions and communications with other Zipcube members are solely between you and such other members, and that you are solely responsible for such transactions and communications. You acknowledge and agree that Zipcube does not itself offer workspace rentals and that Zipcube does not itself act as an agent for any Workspace Owner or any member. You acknowledge and agree that Zipcube provides the Service to enable Hirers and Workspace Owners to transact and communicate directly with each other.

4.3 While it has no obligation to do so, Zipcube may choose to monitor any dispute between you and another member relating to your use of the Service. To the fullest extent permitted by English law, Zipcube is not and will not be responsible or liable in any manner for any loss or damage arising out of your transactions or communications with any other member and you expressly agree to release Zipcube from any and all claims, causes of actions, obligations or liabilities arising from or relating to such transactions or communications.

5. Payment and Cancellations

5.1 You agree to pay all fees, charges and other pricing terms that apply to your use of the Service as set out in these Terms of Use and as otherwise communicated to you through the Service. All fees and charges paid by you in connection with the Service are non-refundable except as expressly stated in these Terms of Use or as required under English law. Zipcube may change the fees and charges that apply to use of the Service at any time.

5.2 When a Hirer, using the Service, finds a Workspace it wishes to rent and has been duly authorised to rent that Workspace by the Workspace Owner, then you agree that you must pay the appropriate rental fee.

5.3 Any reservations subsequently cancelled by a Hirer or by the Workspace Owner at a Hirer's request are subject to the cancellation policy applicable to the relevant Workspace. Cancellation policies may vary between Workspaces and Workspace Owners. By using the Service, you agree that you must pay any Workspace Owner any cancellation or change fees that may apply or that may be agreed between you and the Workspace Owner. You further agree to comply with all terms and conditions imposed in regard to your pre-paid Workspace reservation.

5.4 Sometimes cheaper rates are available on the website for a specific room, product or service, however, these rates made available by Zipcube may carry special restrictions and conditions, for example non-cancellable and non-refundable. Please check the relevant product, service and reservation conditions and details thoroughly for any such conditions prior to making your reservation.

5.5 Flexible booking rates are also available on the website for a specific room, product or service, however, these rates made available by Zipcube offer special conditions, including a free cancellation policy up to 2 working days before check-in and the ability to amend the original booking up to 2 working days before the check-in. In case of a cancellation the Hirer will get a full refund of the room hire excluding the add-ons, amenities, food and beverages ordered at the moment of the booking.

6. Privacy

6.1 Our Privacy Policy also governs your use of the Service. By using the Service, you are deemed to consent to the terms of the Privacy Policy. The up-to-date version of Zipcube's Privacy Policy is located at:

7. Ownership of the Website's content

7.1 There is no limit to how long you keep a space active. Our space availability settings includes extensive options for creating timed campaigns, setup bumpers, and free-sell periods.

7.2 All content on the Website and otherwise available through the Service, including without limitation designs, text, graphics, images, video, information, software, audio and other files ('Website Content') is the proprietary property of Zipcube, its members or its licensors. You may not modify, copy, distribute, reproduce, re-publish, download, scrape, display, post, transmit, or sell any or all of the Website Content in any form or by any means, other than as expressly permitted in these Terms of Use. As a Zipcube member you may access and use the Service and Website Content and download or print a reasonable number of copies of portions of the Website Content to which you have properly and lawfully gained access solely for your personal, non-commercial use, provided that you maintain in full any and all copyright or other proprietary notices on all copies of such Website Content. With the sole exception of any Website Content that you have generated (for example photos and descriptions of Workspaces you are offering to rent), you may not publish or otherwise distribute Website Content, or incorporate Website Content in any other database or publication. You may not use any data mining, robots, scraping (or similar data-gathering or extraction methods) to obtain Website Content. Your use of the Site or any of the Website Content other than as expressly set out in these Terms of Use is prohibited and Zipcube will automatically terminate your membership and your rights to use of the Service and Website Content granted in these Terms of Use. All intellectual property rights of Zipcube or its licensors that are not expressly granted in these Terms of Use are reserved to Zipcube and/or its licensors (as the case may be).

8. Member-Generated Content

8.1 You may be able to display certain information on designated portions of the Website or otherwise through the Service regarding you, your company, your business or your organisation including, if you are a Workspace Owner, your Workspace. Such information will constitute your 'Profile'. Your Profile will make available to other members some of your Registration Data and other content about you, your company, your business or your organisation including, if you are a Workspace Owner, your Workspace, that you upload or otherwise provide to Zipcube for use in your Profile (the 'Profile Content').

8.2 You are solely responsible for your Profile Content, and the content of any and all messages, notes, text, information, listings, and other content you may upload, publish, display or otherwise provide to Zipcube for display on or through the Service, or transmit to or share with other members ('Member Content'). You may not post, transmit, or distribute Member Content that you did not create or that you do not have permission to post. You acknowledge and agree that Zipcube may, but is not obliged to, review the Website and may delete without notice any Website Content or Member Content (including Member Content that Zipcube believes violates these Terms of Use) in its sole discretion and for any reason. Zipcube has no backup or storage obligations regarding Member Content. You are solely responsible at your sole cost and expense for creating backup copies and replacing any Member Content you post or store on the Website or provide to Zipcube.

8.3 Zipcube does not verify the accuracy or authenticity of any Member Content, including any Workspace descriptions or Workspace availability information provided by Workspace Owners, and makes no representations or warranties in regard to any Member Content.

8.4 When you post Profile Content or Member Content to the Website, you grant to Zipcube an irrevocable, perpetual, non-exclusive, transferable, fully-paid, worldwide license (with the right to sub-license) to use, reproduce, publicly perform, publicly display, modify, translate, excerpt (in whole or in part), publish and distribute such Profile Content or Member Content. Subject to the licence granted to Zipcube in these Terms of Use, you retain ownership of your Profile Content.

9. Trademarks

9.1 'Zipcube' is a registered trademark of Zipcube, Ltd. 'Zipcube' together with the other graphics, logos, designs, scripts, and service names on the Website ('Zipcube Marks') are the trademarks or service marks of Zipcube in the UK and other countries. You may not use the Zipcube Marks in connection with any product or service in any manner that may cause confusion or create the impression that Zipcube endorses any product or service. You may not reproduce or use the Zipcube Marks without the prior written consent of Zipcube.

10. Your Conduct

10.1 In addition to complying with these Terms of Use, you additionally agree not to do any of the following in connection with your use of the Service:

  • use automated scripts to collect information from the Service;
  • impersonate any person or entity, or falsely state or otherwise misrepresent yourself or your affiliation with any person or entity;
  • upload, post, transmit or distribute any unsolicited or unauthorised advertising, solicitations, promotional materials, or any other prohibited form of solicitation;
  • upload, post, transmit, distribute, store or make publicly available on the Website any private information of any third party;
  • upload, post, transmit or distribute any material that contains viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer hardware, software, or telecommunications equipment;
  • intimidate or harass any third party;
  • upload, post, transmit, distribute, store or otherwise make available on the Website content that might constitute, encourage or provide instructions for the commission of a criminal offence;
  • use or attempt to use another party's account, service or system without the written consent of both Zipcube and that other party;
  • create a false identity on the Service;
  • use the Service in any way that may create a conflict of interest or undermine the integrity and purposes of the Service (including without limitation trading reviews with other members);
  • upload, post, transmit, distribute, store or otherwise make available on the Website any comments you are not properly authorised or qualified to make; or
  • upload, post, transmit, distribute, store or otherwise make available on the Website content that, in Zipcube's sole judgement, is objectionable or may restrict or inhibit any other person from using the Website or Service, or which may expose Zipcube or its members to any kind of harm or liability.

10.2 You expressly represent and warrant that your Profile Content and Member Content and any other content you submit to the Service, or posted using your account, or otherwise posted, transmitted or distributed by you through the Service:

  • does not violate or infringe the rights of any third party;
  • does not contain offensive, defamatory or otherwise unlawful material, and
  • is truthful and accurate.
11. Third Party Websites

11.1 The Website may contain (or you may be sent through the Service) links to other websites ('Third Party Websites') as well as articles, photographs, text, graphics, sound, video, information and/or other content or items belonging to or originating from third parties ('Third Party Content'). Such Third Party Websites and Third Party Content are not investigated, monitored or checked for accuracy or suitability by Zipcube, and Zipcube is not responsible for any Third Party Websites accessed through the Website or any Third Party Content posted on or available through the Website, including its content, accuracy, offensiveness, opinions or reliability. Inclusion of, linking to or permitting the use of any Third Party Website or any Third Party Content does not imply Zipcube's approval or endorsement of the same. If you decide to leave the Website and access a Third Party Website or access or use any Third Party Content, you do so at your own risk and you acknowledge and agree that these Terms of Use no longer apply in respect of your use of such Third Party Websites and/or Third Party Content. You should review the applicable terms and policies of any Third Party Website to which you surf from the Website or relating to any applications you use or install from the Website.

12. Eligibility for membership

12.1 The Zipcube Service may only be used by individuals of at least 18 years of age. Any registration by, use of or access to the Service by anyone under the age of 18 is unauthorised and is in violation of these Terms of Use. By using the Service, you represent and warrant that you are at least 18 years old.

13. Disclaimers

13.1 Zipcube is in no way responsible or liable for any Member Content or Third Party Content posted on the Website or displayed in connection with the Service, including the accuracy of any Workspace descriptions, Workspace availability information or Member information. Although Zipcube provides rules for its members' conduct and postings, Zipcube does not control and is not responsible for what members post, transmit or distribute on the Website and is not responsible for any offensive, inappropriate, obscene, unlawful or objectionable content you may encounter on the Website or in connection with any Member Content or Third Party Content.

13.2 Zipcube is in no way responsible or liable for the conduct of any member, including any member's non-compliance with any terms, conditions and policies relating to the use of any Workspace.

13.3 Zipcube will always seek to maintain the operation of the Service, but like all Internet-based content, the Service may temporarily be unavailable from time to time for maintenance or other reasons. Zipcube shall have no responsibility for any interruption, delay in operation or transmission, theft or destruction of, unauthorised access to, or alteration of, member communications or any other content made available through the Service.

13.4 Save only where such events occur as a direct consequence of Zipcube's negligence, under no circumstances will Zipcube be responsible for any personal injury or death resulting from the use of the Service, the Website, any Member Content or Third Party Content, or any use of Workspaces, products or services provided by members.

13.5 ZIPCUBE PROVIDES THE SERVICE, INCLUDING ALL CONTENT ON THE WEBSITE, TO WORKSPACE OWNERS AND HIRERS ON AN 'AS IS' BASIS AND, EXCEPT AS PROVIDED IN THESE TERMS OF USE AND/OR IN ANY WORKSPACE POLICIES, THE WORKSPACE OWNERS PROVIDE THEIR VENUES TO HIRERS ON AN 'AS IS' BASIS AND ZIPCUBE, ITS SUPPLIERS AND WORKSPACE OWNERS (WITH RESPECT TO MEMBERS WHO USE THEIR WORKSPACES) EXPRESSLY DISCLAIM TO THE FULLEST EXTENT PERMISSIBLE UNDER ENGLISH LAW ANY AND ALL OTHER REPRESENTATIONS AND WARRANTIES WITH RESPECT TO THE SERVICE AND THE WORKSPACES, WHETHER EXPRESS OR IMPLIED (INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT).

13.6 ZIPCUBE CANNOT AND DOES NOT GUARANTEE TO WORKSPACE OWNERS OR HIRERS, AND WORKSPACE OWNERS CANNOT AND DO NOT GUARANTEE TO HIRERS, ANY SPECIFIC RESULTS FROM USE OF THE SERVICE OR A WORKSPACE.

13.7 WITHOUT LIMITING THE FOREGOING, ZIPCUBE DOES NOT REPRESENT OR WARRANT THAT THE SOFTWARE, CONTENT OR MATERIALS MADE AVAILABLE THROUGH THE SERVICE ARE TRUTHFUL, COMPLETE, RELIABLE, UP-TO-DATE OR ERROR FREE. ZIPCUBE AND WORKSPACE OWNERS DO NOT REPRESENT OR WARRANT THAT THE SERVICE OR ANY WORKSPACE RENTAL WILL MEET YOUR REQUIREMENTS.

13.8 ZIPCUBE DOES NOT REPRESENT OR WARRANT THAT THE SERVICE WILL BE:

  • AVAILABLE AT ANY PARTICULAR TIME OR LOCATION;
  • UNINTERRUPTED OR SECURE;
  • THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED; OR
  • FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

13.9 WORKSPACE OWNERS ARE EXPRESS THIRD PARTY BENEFICIARIES OF THE PROVISIONS OF THIS CLAUSE 13 THAT APPLY TO WORKSPACE OWNERS.

13.10 THESE DISCLAIMERS APPLY TO THE MAXIMUM EXTENT PERMISSIBLE UNDER ENGLISH LAW.

14. Limitation of Liability

14.1 IN NO CIRCUMSTANCES WILL ZIPCUBE OR ITS SUPPLIERS, OR THEIR DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES OR SUPPLIERS, BE LIABLE TO YOU OR ANY THIRD PERSON FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL OR SPECIAL DAMAGES, INCLUDING FOR ANY LOST PROFITS, LOST DATA, PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, ARISING FROM YOUR USE OF THE SERVICE, THE WEBSITE, ANY CONTENT OR OTHER MATERIALS ON, ACCESSED THROUGH OR DOWNLOADED FROM THE SERVICE AND/OR THE WEBSITE, OR YOUR HIRING AND USE OF A WORKSPACE, EVEN IF ZIPCUBE IS AWARE OR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, AND TO THE MAXIMUM EXTENT PERMISSIBLE UNDER ENGLISH LAW ZIPCUBE'S LIABILITY TO YOU OR ANY PARTY CLAIMING THROUGH YOU, FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, IS LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO ZIPCUBE FOR THE SERVICE IN THE 12 MONTHS PRIOR TO THE INITIAL ACTION GIVING RISE TO LIABILITY. THIS IS AN AGGREGATE LIMIT AND THE EXISTENCE OF MORE THAN ONE CLAIM WILL NOT INCREASE THIS LIMIT.

14.2 IN NO CIRCUMSTANCES WILL WORKSPACE OWNERS OR THEIR DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES OR SUPPLIERS BE LIABLE TO HIRERS FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL OR SPECIAL DAMAGES, INCLUDING FOR ANY LOST PROFITS, LOST DATA, PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, ARISING FROM YOUR USE OF THE SERVICE, ANY CONTENT ON, ACCESSED THROUGH OR DOWNLOADED FROM THE SERVICE AND/OR WEBSITE, OR A HIREr's USE OF A WORKSPACE, EVEN IF THE WORKSPACE OWNER IS AWARE OR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING THE FOREGOING, AND TO THE MAXIMUM EXTENT PERMISSIBLE UNDER ENGLISH LAW, EACH WORKSPACE OWNEr's LIABILITY TO A HIRER OR ANY PARTY CLAIMING THROUGH SUCH HIRER, FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, IS LIMITED TO THE AMOUNT YOU PAID TO THE WORKSPACE OWNER FOR THE HIRE OF THE APPLICABLE WORKSPACE IN THE 12 MONTHS PRIOR TO THE INITIAL ACTION GIVING RISE TO LIABILITY. THIS IS AN AGGREGATE LIMIT AND THE EXISTENCE OF MORE THAN ONE CLAIM WILL NOT INCREASE THIS LIMIT. WORKSPACE OWNERS ARE EXPRESS THIRD PARTY BENEFICIARIES OF THE PROVISIONS OF THIS CLAUSE.

15. Termination or closure of your account

15.1 Zipcube may terminate or suspend your Zipcube account and/or your ability to use the Zipcube Service, in whole or in part, without notice if:

  • you violate these Terms of Use or any other rules that govern the use of the Service;
  • your conduct may harm Zipcube or others and/or cause Zipcube or others to incur liability;
  • you receive consistently negative feedback from other members, or;
  • as otherwise determined by Zipcube in its sole discretion.

15.2 Zipcube may modify the Service, and all content or software used or contained in the Service, at any time.

15.3 You may close your Zipcube account at any time by providing Zipcube with notice in accordance with the instructions available through the Service. Zipcube may prevent your access to, use of, or participation in the Service, including all content therein, at any time after the termination or closure of your account. Upon termination or closure of your account, Zipcube will remove your Profile and cease to display your Profile Content, including your Workspace listings if you are a Workspace Owner, on or through the Service.

16. Indemnity

16.1 You agree to indemnify and hold Zipcube harmless from and against any and all losses, liabilities, claims, demands, damages, costs and expenses (including without limitation reasonable legal fees) arising out of or in connection with any Profile Content or Member Content you post or distribute on or through the Service, your use of or participation in the Service, your transactions and communications with other members, or any violation of these Terms of Use, any applicable law, or the rights of any third party.

17. Miscellaneous

17.1 These Terms of Use and the Privacy Policy together constitute the entire agreement between you and Zipcube regarding your use of the Zipcube Service, and supersede any prior agreements between you and Zipcube relating to the same. The failure of Zipcube to exercise or enforce any right in, or provision of, these Terms of Use shall not constitute a waiver of such right or provision. If any provision of these Terms of Use is determined to be unlawful, void or for any reason unenforceable, such determination shall not affect the validity and enforceability of any of the remaining provisions.

18. Governing Law

18.1 The law of England and Wales governs these Terms of Use and any dispute that might arise between you and Zipcube. Any dispute arising between you and Zipcube will be resolved by binding arbitration, to be conducted by a single arbitrator in London. Unless otherwise expressly required by law, each party shall bear its own legal fees without regard to which party is deemed the prevailing party in any arbitration proceedings.

Venue Owners Policy

1. Introduction

1.1 These terms and conditions form part of the Terms of Use and govern the use of the Zipcube Service by Workspace Owners.

1.2 If you use the Service on behalf of a company, business or other organisation, you represent and warrant that you are authorised to bind such company, business or organisation to the Terms of Use and these terms and conditions, and that you are duly authorised to act on behalf of such company, business or organisation with respect to any actions you take in connection with the Zipcube Service. You agree to respond promptly, truthfully, accurately and completely to any requests from Zipcube for additional information that Zipcube deems necessary to determine your authority to act on behalf of a company, business or organisation. Zipcube may suspend or terminate your access to the Service and your account if Zipcube has reason to believe that you are not duly authorised to act on behalf of any company, business or organisation on whose behalf you claim to be acting.

2. Definitions

2.1 In these terms and conditions the following words and phrases shall have the following meanings:

  • 'Coupons' are discounts off rental fees that are applied at the time a Hirer makes a reservation under the Zipcube Billing Option and include both Workspace Coupons and Zipcube Coupons: a Coupon reduces the amount of the rental fee collected from the Hirer by Zipcube by the value of the discount;
  • 'Fees Collected' are the rental fees collected by Zipcube on the Workspace Owner's behalf for reservations that were completed or considered completed under the Cancellation Policy during the calendar month in question.
  • 'Payment Period' means a calendar month;
  • 'Private Workspaces' are Workspaces that have been designated by their Workspace Owner as private and closed to the general public;
  • 'Premium Services' include Standard Integrations, Workspace Networks, Workspace Chains, and Workspace Coupons and require the Premium Service Plan;
  • 'Public Workspaces' are Workspaces that have been designated by their Workspace Owner as open and visible to the general public;
  • 'Total Fees' means the listed rental fee for a Workspace listed on the Zipcube Service;
  • 'Workspace Chain' is a Workspace Network where the same Workspace Owner owns or operates all the Workspaces; a Workspace Originated Member at one of the Workspaces in a Workspace Chain is considered Workspace Originated at all the Workspaces in that Workspace Chain for the purposes of calculating Service Charges;
  • 'Workspace Coupons' are Coupons issued by Zipcube at the request of a Workspace Owner. Workspace Coupons may be applicable to all or a subset of the Workspaces registered by the Workspace Owner. When calculating the Service Charge, Zipcube will reduce the Total Fees used as the basis for the Service Charge by the value of the discount offered by any applicable Workspace Coupon(s);
  • 'Workspace Network' is a collection of Workspaces where the Workspace Owners have agreed that a Hirer authorised to rent at one of the Workspaces is authorised to rent at any of the Workspaces in the Workspace Network;
  • 'Workspace Originated Hirer' means a Hirer who first became a Zipcube member as a result of invitation by the Workspace Owner. More than one Workspace Owner may not introduce the same member to Zipcube. Zipcube shall determine in its sole discretion whether or not a Hirer is a Venue Originated Hirer;
  • 'Zipcube Coupons' are Coupons issued by Zipcube that may be applicable to all Workspaces or to a subset of Workspaces at the sole discretion of Zipcube. When calculating the amount payable to the Workspace Owner in any Payment Period, Zipcube will add back the full value of any discount redeemed via a Zipcube Coupon to the Amount Due to the Workspace Owner; and
  • 'Zipcube Originated Hirer' means any Hirer other than a Venue Originated Hirer.
3. Rentals between Hirers and Workspace Owners

3.1 As a Workspace Owner, you agree to abide by the following policies:

  • you are solely responsible for maintaining the Workspace in a safe condition and in compliance with all applicable laws and building requirements;
  • you are solely responsible for ensuring that the Workspace is clean, tidy and ready to use at the start of each agreed rental period;
  • you are solely responsible for ensuring that the rental of the Workspace through the Service does not violate any lease or other agreements relating to the Workspace or any policies of the building in which the Workspace is located, and you are solely responsible for and shall fully indemnify Zipcube against any fines, losses or other liabilities arising from such violations; and
  • if you approve a rental of your Workspace to begin at a specified time, you are solely responsible for ensuring that the Workspace is available to the Hirer at that time.

3.2 Hirers and Workspace Owners may both submit feedback to the Service following the completion of a Workspace rental transaction. You acknowledge and agree that other members may publicly post ratings and reviews of you and/or your Workspace. You acknowledge and agree that Zipcube may, but is not obliged to, monitor such postings and that Zipcube is not responsible for any ratings and/or reviews given by Hirers. You expressly release Zipcube from any and all claims, causes of actions, obligations or liabilities arising from or relating to ratings and/or reviews given by Hirers.

4. Payments

4.1 As a Workspace Owner, you may establish the rental fee for your Workspace.

4.2 At the end of each calendar month, Zipcube shall, subject to the other provisions of this clause 4, pay to the Workspace Owner the difference between the Fees Collected and the Service Charges due for that month (the 'Amount Due').

4.3 If the Amount Due in any calendar month is equal to or greater than fifty pounds sterling (£50), then Zipcube will pay the Workspace Owner the Amount Due within fifteen (15) days of the end of such calendar month.

4.4 If the Amount Due to a Workspace Owner in any calendar month is less than fifty pounds sterling (£50), then Zipcube will carry over the Amount Due to the next calendar month until the total Amount Due to that Workspace Owner is greater than fifty pounds sterling (£50).

4.5 If in any calendar month the Service Charges exceed the Fees Collected, Zipcube will invoice the Workspace Owner for any amount owed by the Workspace Owner that exceed two hundred and fifty pounds sterling (£250) and the Workspace Owner shall pay such amounts within thirty (30) days of the date of Zipcube's invoice.

4.6 Zipcube reserves the right to withhold payment to you in respect of any amounts otherwise due to Zipcube under the Terms of Use, or any amounts due to Zipcube as a result of your breach of the Terms of Use, pending Zipcube's reasonable investigation of such alleged breach(es).

4.7 Additionally, Zipcube may withhold or deduct from any amounts due to be paid to a Workspace Owner in connection with these Terms of Use, any charges or fees that are disputed or otherwise not paid by a Hirer, a credit card issuer, card payment scheme, merchant acquirer or other payment provider, and Zipcube may charge the Workspace Owner and the Workspace Owner shall pay any such amounts if Zipcube has already paid such amounts to the Workspace Owner.

4.8 You agree to pay all applicable taxes or charges imposed by any competent government entity in connection with your use, or Zipcube's supply, of the Service, including without limitation any sales or value-added taxes or charges imposed by any competent government entity in connection with your use, or Zipcube's supply, of the Service.

4.9 You are solely responsible for providing and maintaining accurate contact and payment information associated with your account, which includes without limitation applicable tax information, and you shall keep complete and accurate records regarding Workspace usage and payments by Hirers. Upon giving reasonable prior written notice Zipcube may audit such records to confirm proper payment and to otherwise confirm compliance with these Terms of Use.

4.10 If Zipcube believes it is obliged to obtain tax information from you, and you do not provide this information upon request, Zipcube may withhold all payments due to you until you provide the requested tax information or confirm in a manner that is satisfactory to Zipcube that you are not a person or entity from whom Zipcube is required to obtain such information.

4.11 Any bank fees incurred by Zipcube that arise from any error or omission in your payment or contact information may be deducted from your payments.

4.12 If you dispute any payment made to you by Zipcube in accordance with the Terms of Use, you must notify Zipcube in writing within thirty (30) days of your receipt of such payment. If you fail to do so, you will not be able to make any claim relating to such disputed payment.

4.13 The following Service Charges apply only to Public Workspaces:

  • For rental transactions billed by Zipcube:
    • for each rental transaction with a Zipcube Originated Member, the Service Charge will be equal to twenty per cent (20%) of the Total Fees;
    • for each rental transaction with Workspace Originated Member, the Service Charge will be equal to five per cent (5%) of the Total Fees.
  • There will be no Service Charge due for rental transactions billed to the Hirer directly by the Workspace Owner or for reservations cancelled and refunded under the terms of the applicable Cancellation Policy.
5. Use of Workspaces by Zipcube employees and contractors

5.1 Each Workspace Owner authorises Zipcube and its employees and contractors to use its Workspace(s) as needed for the purposes of testing and operational support, and the Workspace Owner will grant access to Zipcube, its employees and contractors for this reason. Any use of such Workspace(s) through the Service by Zipcube, its employees and contractors that is necessary for the purposes of testing and operational support shall be at no charge to Zipcube.

6. Representations and Warranties

6.1 You represent and warrant that:

  • any Workspace you offer for rental hereunder is free of any known conditions or defects that would pose a hazard to, or risk the safety of, any Hirer or any third party; and
  • you have sufficient rights in and to the Workspace to participate in the Service as a Workspace Owner, and your participation in the Service as a Workspace Owner does not violate or result in the breach of any agreement between you and any third party, including any lease agreement or other agreement relating to the Workspace or the building in which the Workspace is located.

This Privacy Policy sets out how we gather, employ, process, and disclose your information, including personal information, in conjunction with your access to and use of the Zipcube Platform and our Payment Services.

When this policy mentions 'Zipcube', 'we', 'us', or 'our' it refers to the Zipcube company that is responsible for your information under this Privacy Policy (the 'Data Controller').

This Privacy Policy also applies to the Payment Services provided to you by Zipcube's Payment Division pursuant to the Payments Terms of Service ('Payments Terms'). When using the Payment Services, you will be also providing your information, including personal information, to one or more of Zipcube's Payment Division entities, which will also be the Data Controller (the 'Payments Data Controller') of your information related to the Payment Services, generally depending on your Country of Residence.

1. The data we gather

There are three general categories of data which we gather.

1.1 Information you provide to us

1.1.1 Information that is required for the use of the Zipcube Platform. We ask for and collect the following personal information about you when you use the Zipcube Platform. This information is necessary for the adequate performance of the contract between you and us and to allow us to comply with our legal obligations. Without it, we may not be able to provide you with all the requested services.

  • Account Information. When you sign up for an account with Zipcube, we require certain information such as your first name, last name, email address.
  • Profile and Listing Information. To use certain features of the Zipcube Platform (such as booking or creating a Listing), we may ask you to provide additional information, which may include your address, phone number, and a profile picture.
  • Payment Information. To use certain features of the Zipcube Platform (such as booking or creating a Listing), we may require you to provide certain financial information (like your bank account or credit card information) in order to facilitate the processing of payments.
  • Communications with Zipcube and other Members. When you communicate with Zipcube or use the Zipcube Platform to communicate with other Members, we collect information about your communication and any information you choose to provide.

1.1.2 Information you elect to give to us. You may elect to give us extra personal information when using the Zipcube Platform. This additional information will be processed based on your consent.

  • Extra Profile Information. You may elect to give us extra information as part of your Zipcube profile (such as gender, preferred language(s), city).
  • Address Book Contact Information. You may choose to import your address book contacts or enter your contacts' information manually to access certain features of the Zipcube Platform, like inviting them to use Zipcube.
  • Other Information. You may also elect to give us information when you fill in a form, conduct a search, update or add information to your Zipcube Account, respond to surveys, participate in promotions, or use other features of the Zipcube Platform.

1.1.3 Required Information for the use of the Payment Services. The Payments Data Controller needs to collect the following information, as it is necessary for the adequate performance of the contract with you and to comply with applicable law (such as anti-money laundering regulations). Without it, you will not be able to use Payment Services:

  • Payment Information. When you use the Payment Services, the Payments Data Controller requires certain financial information (like your bank account or credit card information) in order to process payments and comply with applicable law.
  • Identity Verification and Other Information. We may require other authentication information - such as your date of birth, your address, email address, phone number and other information - in order to verify your identity, provide the Payment Services to you, and to comply with applicable law.

1.2 Automatic uptake of information from your use of the Zipcube platform and payment services

When you use the Zipcube Platform and the Payment Services, we collect information by default, including personal information, about the services you use and how you use them. This information is necessary for the adequate performance of the contract between you and us, to enable us to comply with legal obligations and given our legitimate interest in being able to provide and improve the functionalities of the Zipcube Platform and Payment Services.

  • Geo-location Information. When you use certain features of the Zipcube Platform, we may gather information about your precise or approximate location using data such as your IP address or mobile device's GPS. This is done to offer an improved user experience. Most mobile devices allow you to control or disable the use of location services for applications in the device's settings menu. Zipcube may also collect this information even when you are not using the app if this connection is enabled through your settings or device permissions.
  • Usage Information. We collect information about your interactions with the Zipcube Platform such as the pages or content you view, your searches for Listings, bookings you have made, and other actions on the Zipcube Platform.
  • Log Data and Device Information. We automatically collect log data and device information when you access and use the Zipcube Platform, even if you have not created a Zipcube Account or logged in. That information includes, among other things: details about how you've used the Zipcube Platform (including whether you clicked on links to third party applications), IP address, access dates and times, hardware and software information, device information, device event information, unique identifiers, crash data, cookie data, and the pages you've viewed or engaged with before or after using the Zipcube Platform.
  • Cookies and Similar Technologies. We use cookies and other similar technologies, such as web beacons, pixels, and mobile identifiers. While you may disable the usage of cookies through your browser settings, the Zipcube Platform currently does not respond to a 'Do Not Track' signal in the HTTP header from your browser or mobile application due to lack of standardisation regarding how that signal should be interpreted.
  • Payment Transaction Information. Zipcube's Payment Division collects information related to your payment transactions through the Zipcube Platform, including the payment instrument used, date and time, payment amount, payment instrument expiration date and billing postcode, PayPal email address, IBAN information, your address and other related transaction details. This information is necessary for the adequate performance of the contract between you and Zipcube's Payment Division and to allow the provision of the Payment Services.

1.3 Information we gather from third parties

Zipcube and Zipcube's Payment Division may collect information, including personal information, that others provide about you when they use the Zipcube Platform and the Payment Services, or obtain information from other sources and combine that with information we collect through the Zipcube Platform and the Payment Services. We do not control, supervise or respond for how the third parties providing your information process your personal data, and any information request regarding the disclosure of your personal information to us should be directed to such third parties.

  • Third Party Services. If you link, connect, or login to your Zipcube Account with a third party service (e.g. Google, Facebook), the third party service may send us information such as your registration and profile information from that service. This information varies and is controlled by that service or as authorised by you via your privacy settings at that service.
  • Your Reviews. If someone has written a review for your listing, it will be published on your Zipcube Listing page with your consent.
  • Other Sources. To the extent permitted by applicable law, we may receive additional information about you, such as demographic data or fraud detection information, from third party service providers and/or partners, and combine it with information we have about you. For example, we may receive background check results (with your consent where required) or fraud warnings from service providers like identity verification services for our fraud prevention and risk assessment efforts. We may receive information about you and your activities on and off the Zipcube Platform through partnerships, or about your experiences and interactions from our partner ad networks.
2. How we employ the information we gather

We use, store, and process information, including personal information, about you to provide, update and improve the Zipcube Platform, as well as to establish and uphold a trusted and safer environment and to meet our legal obligations.

2.1 Provide, update and improve the Zipcube platform

  • Enable you to access and use the Zipcube Platform.
  • Enable you to communicate with other Members.
  • Operate, protect, improve, and optimise the Zipcube Platform and experience, such as by performing analytics and conducting research.
  • Provide customer service.
  • Send you service or support messages, updates, security alerts, and account notifications.
  • If you provide us with your contacts' information, we may process this information:
    • to send your requests for reviews,
    • for fraud detection and prevention, and
    • for any purpose you authorise at the time of collection.
  • To operate, protect, improve, and optimise the Zipcube Platform and experience, and personalise and customise your experience (such as making Listing suggestions or ranking search results), we conduct profiling based on your interactions with the Zipcube Platform, your search and booking history, your profile information and preferences, and other content you submit to the Zipcube Platform.

We process this information given our legitimate interest in improving the Zipcube Platform and our Members' experience with it, and where it is necessary for the adequate performance of the contract with you.

2.2 Establish and uphold a safe environment

  • Detect and prevent fraud, spam, abuse, security incidents, and other harmful activity.
  • Conduct security investigations and risk assessments.
  • Verify or authenticate information which you have provided.
  • Conduct checks against databases and other information sources, including background or police checks, to the extent permitted by applicable laws and with your consent where required.
  • Comply with our legal obligations.
  • Resolve any disputes with any of our Members and enforce our agreements with third parties.
  • Enforce our Terms of Service and other policies.
  • In connection with the activities above, we may conduct profiling based on your interactions with the Zipcube Platform, your profile information and other content you submit to the Zipcube Platform, and information obtained from third parties. In limited cases, automated processes may restrict or suspend access to the Zipcube Platform if such processes detect a Member or activity that we think poses a safety or other risk to the Zipcube Platform, other Members, or third parties.

We process this information given our legitimate interest in protecting the Zipcube Platform, to measure the adequate performance of our contract with you, and to comply with applicable laws.

2.3 Provide, personalise and update our advertising and marketing

  • Send you promotional messages, marketing, advertising, and other information that may be of interest to you based on your preferences (including information about Zipcube or partner campaigns and services) and social media advertising through social media platforms such as Facebook or Google).
  • Personalise, measure, and improve our advertising.
  • Administer referral programs, rewards, surveys, sweepstakes, contests, or other promotional activities or events sponsored or managed by Zipcube or its third party partners.
  • Conduct profiling on your characteristics and preferences (based on the information you provide to us, your interactions with the Zipcube Platform, information obtained from third parties, and your search and booking history) to send you promotional messages, marketing, advertising and other information that we think may be of interest to you.

We will process your personal information for the purposes listed in this section given our legitimate interest in undertaking marketing activities to offer you products or services that may be of your interest. You can opt-out of receiving marketing communications from us by following the unsubscribe instructions included in our marketing communications or changing your notification settings within your Zipcube Account.

2.4 How the payments data controller uses the gathered information

  • Enable you to access and use the Payment Services.
  • Detect and prevent fraud, abuse, security incidents, and other harmful activity.
  • Conduct security investigations and risk assessments.
  • Conduct checks against databases and other information sources.
  • Comply with legal obligations (such as anti-money laundering regulations).
  • Enforce the Payment Terms and other payment policies.
  • With your consent, send you promotional messages, marketing, advertising, and other information that may be of interest to you based on your preferences.

The Payments Data Controller processes this information given its legitimate interest in improving the Payment Services and its users' experience with it, and where it is necessary for the adequate performance of the contract with you and to comply with applicable laws.

3. Sharing & disclosure

3.1 With your consent

Where you have provided consent, we share your information, including personal information, as described at the time of consent, such as when you authorise a third party application or website to access your Zipcube Account or when you participate in promotional activities conducted by Zipcube partners or third parties.

3.2 Sharing between members

To help facilitate bookings or other interactions between Members, we may need to share certain information, including personal information, with other Members, as it is necessary for the adequate performance of the contract between you and us, as follows:

  • When you as a Client submit a booking request, certain information about you is shared with the Venue, including the full name used for your booking (including a company name), your cancellation history, and other information you agree to share. When your booking is confirmed, we will disclose additional information to assist with the logistics of hiring the venue, such as your contact details.
  • When you as a Venue have a confirmed booking, certain information is shared with the Client to coordinate the booking, such as your venue address and phone number.
  • When you as a Client invite additional Clients to a booking, your full name, booking dates, Venue name, Listing details, the Venue address, and other related information will be shared with each additional Guest.

We don't share your billing and payout information with other Members.

3.3 Listings, and other public information

The Zipcube Platform lets you publish information, including personal information, that is visible to the general public. For example:

  • Listing pages are publicly visible and include information such as the Venue's approximate location (region and city) or precise location (where you have provided your consent), Listing description, calendar availability, your venue photos, aggregated demand information (like page views over a period of time), and any additional information you choose to share.
  • After completing a booking, Clients and Venues may write Reviews and rate each other.
  • If you submit content in a community or discussion forum, blog or social media post, or use a similar feature on the Zipcube Platform, that content is publicly visible.

Based on our legitimate interest to promote the Zipcube Platform we may display parts of the Zipcube Platform (e.g., your Listing page) on sites operated by Zipcube's business partners, using technologies such as widgets or APIs. If your Listings are displayed on a partner's site, information from your public profile page may also be displayed.

Information you share publicly on the Zipcube Platform may be indexed through third party search engines. In some cases, you may opt-out of this feature in your Account settings. If you change your settings or your public-facing content, these search engines may not update their databases. We do not control the practices of third party search engines, and they may use caches containing your outdated information.

3.4 Additional venue services

Hosts may need to use third party services available through the Zipcube Platform to assist with managing their Venues or providing additional services requested by you. Venues may use features on the Zipcube Platform to share information about the Client (like check-in and check-out dates, Client name, Client phone number) with such third party service providers for the purposes of coordinating the booking, managing the Venue, or providing other services.

3.5 Compliance with law, responding to legal requests, preventing harm and protection of our rights

Zipcube and Zipcube's Payment Division may disclose your information, including personal information, to courts, law enforcement or governmental authorities, or authorised third parties, if and to the extent we are required or permitted to do so by law or if such disclosure is reasonably necessary:

  • to comply with our legal obligations,
  • to comply with legal process and to respond to claims asserted against Zipcube,
  • to respond to verified requests relating to a criminal investigation or alleged or suspected illegal activity or any other activity that may expose us, you, or any other of our users to legal liability,
  • to enforce and administer our Terms of Service, the Payment Terms or other agreements with Members, or
  • to protect the rights, property or personal safety of Zipcube, its employees, its Members, or members of the public.

These disclosures may be necessary to comply with our legal obligations, for the protection of your or another person's vital interests or for the purposes of our or a third party's legitimate interest in keeping the Zipcube Platform secure, preventing harm or crime, enforcing or defending legal rights, or preventing damage.

Where appropriate, we may notify Members about legal requests unless:

  • providing notice is prohibited by the legal process itself, by court order we receive, or by applicable law, or
  • we believe that providing notice would be futile, ineffective, create a risk of injury or bodily harm to an individual or group, or create or increase a risk of fraud upon Zipcube's property, its Members and the Zipcube Platform. In instances where we comply with legal requests without notice for these reasons, we will attempt to notify that Member about the request after the fact where appropriate and where we determine in good faith that we are no longer prevented from doing so.

3.6 Service providers

Zipcube and Zipcube's Payment Division uses a variety of third party service providers to help us provide services related to the Zipcube Platform and the Payment Services. Service providers may be located inside or outside of the European Economic Area ('EEA'). In particular, our service providers are based in Europe, and North America.

For example, service providers may help us:

  • verify your identity or authenticate your identification documents,
  • check information against public databases,
  • conduct background or police checks, fraud prevention, and risk assessment,
  • perform product development, maintenance and debugging,
  • allow the provision of the Zipcube Services through third party platforms and software tools (e.g. through the integration with our APIs), or
  • provide customer service, advertising, or payments services. These providers have limited access to your information to perform these tasks on our behalf, and are contractually bound to protect and to use it only for the purposes for which it was disclosed and consistent with this Privacy Policy.

Zipcube and Zipcube's Payment Division will need to share your information, including personal information, in order to ensure the adequate performance of our contract with you.

3.7 Corporate affiliates

To enable or support us in providing the Zipcube Platform and the Payment Services, we may share your information, including personal information, within our corporate family of companies (both financial and non-financial entities) that are related by common ownership or control.

Additionally, we share your information, including personal information, with our corporate affiliates in order to support and integrate, promote, and to improve the Zipcube Platform and our affiliates' services.

3.8 Social media platforms

Where permissible according to applicable law we may use certain limited personal information about you, such as your email address, to hash it and to share it with social media platforms, such as Facebook or Google, to generate leads, drive traffic to our websites or otherwise promote our products and services or the Zipcube Platform. These processing activities are based on our legitimate interest in undertaking marketing activities to offer you products or services that may be if your interest.

The social media platforms with which we may share your personal data are not controlled or supervised by Zipcube. Therefore, any questions regarding how your social media platform service provider processes your personal data should be directed to such provider.

Please note that you may, at any time ask Zipcube to cease processing your data for these direct marketing purposes.

3.9 Government registration

In jurisdictions where Zipcube facilitates or requires a registration, notification, permit, or license application of a Venue with a local governmental authority through the Zipcube Platform in accordance with local law, we may share information of participating Venues with the relevant authority, both during the application process and, if applicable, periodically thereafter, such as the Venue owner's full name and contact details, address, tax identification number, Listing details, and number of bookings.

3.10 Business transfers

If Zipcube undertakes or is involved in any merger, acquisition, reorganisation, sale of assets, bankruptcy, or insolvency event, then we may sell, transfer or share some or all of our assets, including your information in connection with such transaction or in contemplation of such transaction (e.g., due diligence). In this event, we will notify you before your personal information is transferred and becomes subject to a different privacy policy.

3.11 Aggregated data

We may also share aggregated information (information about our users that we combine together so that it no longer identifies or references an individual user) and other anonymised information for regulatory compliance, industry and market analysis, demographic profiling, marketing and advertising, and other business purposes.

4. Other important information

4.1 Analysing your communications

We may review, scan, or analyse your communications on the Zipcube Platform for fraud prevention, risk assessment, regulatory compliance, investigation, product development, research, and customer support purposes. For example, as part of our fraud prevention efforts, we scan and analyse messages to mask contact information and references to other websites. In some cases, we may also scan, review, or analyse messages to debug, improve, and expand product offerings. We use automated methods where reasonably possible. However, occasionally we may need to manually review some communications, such as for fraud investigations and customer support, or to assess and improve the functionality of these automated tools. We will not review, scan, or analyse your communications to send third party marketing messages to you, and we will not sell reviews or analyses of these communications.

These activities are carried out based on Zipcube's legitimate interest in ensuring compliance with applicable laws and our Terms, preventing fraud, promoting safety, and improving and ensuring the adequate performance of our services.

4.2 Linking third party accounts

You may link your Zipcube Account with your account at a third party social networking service. Your contacts on these third party services are referred to as 'Friends'. When you create this link:

  • some of the information you provide to us from the linking of your accounts may be published on your Zipcube Account profile;
  • your activities on the Zipcube Platform may be displayed to your Friends on the Zipcube Platform and/or that third party site;
  • other Zipcube users may be able to see any common Friends that you may have with them, or that you are a Friend of their Friend if applicable;
  • other Zipcube users may be able to see any schools, home towns or other groups you have in common with them as listed on your linked social networking service;
  • the information you provide to us from the linking of your accounts may be stored, processed and transmitted for fraud prevention and risk assessment purposes; and
  • the publication and display of information that you provide to Zipcube through this linkage is subject to your settings and authorisations on the Zipcube Platform and the third party site.

We only collect your information from linked third party accounts to the extent necessary to ensure the adequate performance of our contract with you, or to ensure that we comply with applicable laws, or with your consent.

4.3 Google Maps/Earth

Parts of the Zipcube Platform use Google Maps/Earth services, including the Google Maps API(s). Use of Google Maps/Earth is subject to:

5. Third party partners & integrations

The Zipcube Platform may contain links to third party websites or services, such as third party integrations, co-branded services, or third party-branded services ('Third Party Partners'). Zipcube doesn't own or control these Third Party Partners and when you interact with them, you may be providing information directly to the Third Party Partner, Zipcube, or both. These Third Party Partners will have their own rules about the collection, use, and disclosure of information. We encourage you to review the privacy policies of the other websites you visit.

6. Your rights

You may exercise any of the rights described in this section before your applicable Zipcube Data Controller and Payments Data Controller by contacting Zipcube directly. Please note that we may ask you to verify your identity before taking further action on your request.

6.1 Managing your information

You may access and update some of your information through your Account settings. If you have chosen to connect your Zipcube Account to a third-party application, like Facebook or Google, you can change your settings and remove permission for the app by changing your Account settings. You are responsible for keeping your personal information up-to-date.

6.2 Rectification of inaccurate or incomplete information

You have the right to ask us to correct inaccurate or incomplete personal information concerning you (and which you cannot update yourself within your Zipcube Account).

6.3 Data access and portability

In some jurisdictions, applicable law may entitle you to request copies of your personal information held by us. You may also be entitled to request copies of personal information that you have provided to us in a structured, commonly used, and machine-readable format and/or request us to transmit this information to another service provider (where technically feasible).

6.4 Data retention and deletion

We generally retain your personal information for as long as is necessary for the performance of the contract between you and us and to comply with our legal obligations. If you no longer want us to use your information to provide the Zipcube Platform to you, you can request that we delete your personal information and close your Zipcube Account. Please note that if you request the deletion of your personal information:

  • We may retain some of your personal information as necessary for our legitimate business interests, such as fraud detection and prevention and enhancing safety. For example, if we suspend an Zipcube Account for fraud or safety reasons, we may retain certain information from that Zipcube Account to prevent that Member from opening a new Zipcube Account in the future.
  • We may retain and use your personal information to the extent necessary to comply with our legal obligations. For example, Zipcube and Zipcube's Payment Division may keep some of your information for tax, legal reporting and auditing obligations.
  • Information you have shared with others (e.g. Reviews, forum postings) may continue to be publicly visible on the Zipcube Platform, even after your Zipcube Account is cancelled. However, attribution of such information to you will be removed. Additionally, some copies of your information (e.g. log records) may remain in our database, but are disassociated from personal identifiers.
  • Because we maintain the Zipcube Platform to protect from accidental or malicious loss and destruction, residual copies of your personal information may not be removed from our backup systems for a limited period of time.

6.5 Withdrawing consent and restriction of processing

Where you have provided your consent to the processing of your personal information by Zipcube you may withdraw your consent at any time by changing your Account settings or by sending a communication to Zipcube specifying which consent you are withdrawing. Please note that the withdrawal of your consent does not affect the lawfulness of any processing activities based on such consent before its withdrawal. Additionally, in some jurisdictions, applicable law may give you the right to limit the ways in which we use your personal information, in particular where:

  • you contest the accuracy of your personal information;
  • the processing is unlawful and you oppose the erasure of your personal information;
  • we no longer need your personal information for the purposes of the processing, but you require the information for the establishment, exercise or defence of legal claims; or
  • you have objected to the processing pursuant to Section 6.6 and pending the verification whether the legitimate grounds of Zipcube override your own.

6.6 Objection to processing

In some jurisdictions, applicable law may entitle you to require Zipcube and Zipcube's Payment Division not to process your personal information for certain specific purposes (including profiling) where such processing is based on legitimate interest. If you object to such processing Zipcube and/or Zipcube's Payment Division will no longer process your personal information for these purposes unless we can demonstrate compelling legitimate grounds for such processing or such processing is required for the establishment, exercise or defence of legal claims.

Where your personal information is processed for direct marketing purposes, you may, at any time ask Zipcube to cease processing your data for these direct marketing purposes by contacting us directly.

6.7 Registering a complaint

You have the right to lodge complaints about the data processing activities carried out by Zipcube and Zipcube's Payment Division before the competent data protection authorities.

7. International operations

To facilitate our global operations Zipcube and Zipcube's Payment Division may transfer, store, and process your information with service providers based in Europe and North America. Laws in these countries may differ from the laws applicable to your Country of Residence. For example, information collected within the EEA may be transferred, stored, and processed outside of the EEA for the purposes described in this Privacy Policy. Where we transfer store, and process your personal information outside of the EEA we have ensured that appropriate safeguards are in place to ensure an adequate level of data protection.

7.1 Other means to ensure an adequate level of data protection

If your information is shared with corporate affiliates or third party service providers outside the EEA, we have - prior to sharing your information with such corporate affiliate or third party service provider - established the necessary means to ensure an adequate level of data protection. This may be an adequacy decision of the European Commission confirming an adequate level of data protection in the respective non-EEA country or an agreement on the basis of the EU Model Clauses (a set of clauses issued by the European Commission). We will provide further information on the means to ensure an adequate level of data protection on request.

8. Security

We are continuously implementing and updating administrative, technical, and physical security measures to help protect your information against unauthorised access, loss, destruction, or alteration. Some of the safeguards we use to protect your information are firewalls and data encryption, and information access controls. If you know or have reason to believe that your Zipcube Account credentials have been lost, stolen, misappropriated, or otherwise compromised or in case of any actual or suspected unauthorised use of your Zipcube Account, please contact us following the instructions in the Contact Us section below.

9. Changes to our privacy policy

Zipcube reserves the right to modify this Privacy Policy at any time in accordance with this provision. If we make changes to this Privacy Policy, we will post the revised Privacy Policy on the Zipcube Platform and update the 'Last Updated' date at the top of this Privacy Policy. We will also provide you with notice of the modification by email at least thirty (30) days before the date they become effective. If you disagree with the revised Privacy Policy, you may cancel your Account. If you do not cancel your Account before the date the revised Privacy Policy becomes effective, your continued access to or use of the Zipcube Platform will be subject to the revised Privacy Policy.
